1Master Services Agreement Scope
These Terms and Conditions govern all software engineering, system integration, API development, and operations automation services provided by D2Webtech Software Services to business clients. Specific Statement of Work (SOW) documents execute under these general MSA terms.
2Intellectual Property (IP) Ownership
100% Client IP Assignment: Upon full payment of milestone fees outlined in the applicable SOW, all custom source code, custom API integrations, database schemas, and documentation created specifically for the Client transfer fully and exclusively to the Client.
3Payment Terms & Milestone Acceptance
Services are billed according to fixed-price milestone schedules or agreed hourly rates as specified in the SOW. Invoices are payable within 14 business days of issuance. Milestone acceptance requires Client sign-off after parallel pilot testing.
4Limitation of Liability & Warranty
To the maximum extent permitted by law, Provider's total aggregate liability arising out of or related to any project shall not exceed the total fees paid by Client under the applicable SOW in the 6 months preceding the claim. Provider warrants that custom software will perform substantially in accordance with agreed technical specifications for a 90-day post-launch warranty period.
5Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with standard international commercial law. Any disputes shall first be addressed through direct technical mediation between executive contacts.
